Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your use of the VALET website (www.valet-us.com), the VALET rider app (the "Rider App"), the VALET driver app (the "Driver App") and the two-driver transportation service we provide through them (together, the "Service"). The Rider App and Driver App are the "Apps." By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms apply to all users, including riders and drivers. Section 7 contains additional terms for drivers. The Service is operated by Valet Technologies, LLC, a North Carolina limited liability company ("VALET," "we," "our," or "us").

2. Service Description

VALET provides a two-driver transportation service:

• Two drivers are dispatched to your pickup location
• The first driver (the "Valet Driver") drives your personal vehicle, with you as a passenger
• The second driver (the "Trail Driver") follows in their own vehicle
• You and your vehicle arrive at your destination

VALET is a technology platform that connects riders with drivers. VALET does not supply a vehicle for the ride: the Valet Driver drives your vehicle and the Trail Driver drives their own. The Service is available in select areas and during specified operating hours. VALET may change service areas and hours at any time, and may decline a request that is outside them.

3. User Eligibility

To use VALET as a rider, you must:

• Be at least 18 years of age
• Have a mobile phone number that can receive SMS verification codes
• Provide accurate and complete registration information (an email address is optional)
• Own, or have authorization to use, the vehicle being driven
• Have valid registration and insurance for that vehicle

Driver eligibility is set out in Section 7.

4. User Accounts

You sign in to the Apps with your mobile phone number and a one-time code we send by SMS. Message and data rates from your carrier may apply. You are responsible for the security of your phone and your account. You agree to:

• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activity under your account
• Keep your account information accurate and current
• Not share your account with others

You can delete your account at any time in the app (Account, then Settings, then Delete Account) or at www.valet-us.com/account-deletion. What happens to your information is described in our Privacy Policy.

5. Payment Terms

Pricing

A fare is made up of a base fare, a charge for distance and a charge for time, plus a booking fee, and is subject to a minimum fare. Pricing may vary by service area, demand, time of day and special events. You will see an estimated fare before you confirm a ride. The amounts that apply are those shown in the app at the time you confirm.

Payment methods

Payments are processed by Stripe. You can pay with a credit or debit card, or with Apple Pay or Google Pay where available. We do not store your full card number. When you request a ride we may place a temporary authorization hold on your payment method, and the final fare is charged when the trip is completed. You agree to pay all charges incurred through your use of the Service.

Tips

Tips are optional and are paid in full to your drivers. You can add a tip after a trip. A tip, once charged, is not refundable by VALET.

Additional charges

You may be charged additional fees for:

• Cancelling after drivers have been dispatched (the amount is shown in the app)
• Not being present at pickup after a reasonable waiting period (currently 5 minutes)
• Excessive wait time during a trip
• Cleaning, for vehicle damage or excessive mess caused by you or your guests
• Tolls and parking fees incurred during your ride

6. Location, Communication and Your Trip

• Location. The Apps use your device location to set your pickup, show nearby drivers and follow your trip. When your two drivers are close to your pickup, your live location is shared with them, and only them, so they can find you. Sharing stops when you are picked up. See our Privacy Policy for details.
• Contacting your drivers. During a trip you and your assigned drivers may contact each other through the app, including by phone call. Use this only for the trip.
• Ratings and feedback. You can rate your trip. Ratings and feedback may be shared with the drivers in a way that does not identify you where required, and may be used to review driver performance.
• Messages to VALET. You can send us a message from the app. We use the contact details on your account to reply.
• Notifications. We send trip updates and account messages by push notification, SMS and email. You can turn off push notifications in your device settings, but you may then miss trip updates.

7. Additional Terms for Drivers

These terms apply if you apply to, or work as, a driver through the Driver App. If you accept a separate driver agreement with VALET, that agreement also applies and controls where it conflicts with these Terms.

Independent contractor

Drivers are independent contractors and not employees of VALET. You choose when to go online and which trips to accept. You are responsible for your own taxes, expenses, and for any licenses or permits your work requires. Nothing in these Terms creates an employment, partnership or joint venture relationship.

Eligibility and approval

• You must be at least 18, hold a valid driver's license, and be legally able to work in the United States
• You must drive, or follow in, a vehicle that is registered, insured and inspected, whichever seat you drive
• You must submit accurate application details and documents, and keep them current
• You consent to background and driving-record screening as part of approval, and to repeat screening while you drive
• VALET may approve, decline, suspend or remove a driver at its discretion, including for safety reasons

How trips work

• Each trip is worked by two drivers: a Valet Driver who drives the rider's vehicle and a Trail Driver who follows
• You must treat the rider's vehicle with care and use it only for the trip
• You must obey traffic laws, never drive while impaired, and not use a handheld phone while driving
• You must follow the steps shown in the Driver App and report any incident, damage or safety concern promptly

Location tracking

While you are online, and during trips, the Driver App records your location, including in the background, and shares it with the rider and your partner driver for the trip. You can stop this by going offline.

Pay

Drivers are paid a share of each fare, as shown in the Driver App, and keep all tips. VALET may adjust, withhold or reverse pay in cases of fraud, refunds caused by driver conduct, or other violations of these Terms.

8. User Conduct

You agree not to:

• Use the Service for any unlawful purpose
• Harass, threaten or harm drivers, riders or other users
• Damage VALET or driver property
• Provide false information or impersonate another person
• Transport illegal substances or weapons
• Violate any applicable law or regulation
• Attempt to circumvent the Service or the payment system
• Engage in discriminatory or offensive behavior
• Interfere with the Apps or access them by automated means

9. Vehicle Requirements

Your vehicle must meet the following requirements for VALET service:

• Valid registration and insurance
• Safe operating condition
• Standard automatic or manual transmission
• Functioning keys or fob, with a spare if required
• No modifications that prevent normal operation

VALET may refuse service for vehicles that do not meet safety standards or cannot be safely operated by our drivers.

10. Safety and Emergencies

VALET is not an emergency service. In an emergency, call 911 first. After any accident, injury, damage or safety concern, report it to us through the in-app message form so we can follow up. You must not use the Service in a way that endangers drivers, other riders or the public.

11. Liability and Insurance

VALET insurance coverage

VALET maintains commercial insurance coverage for our drivers and operations. This coverage is supplemental to your personal auto insurance.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VALET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Indemnification

You agree to indemnify and hold harmless VALET, its affiliates, and their respective officers, directors, employees and agents from any claims, damages, losses, liabilities and expenses arising from your use of the Service or your violation of these Terms.

12. Cancellation and Refund Policy

• Cancellations made before drivers are dispatched: no charge
• Cancellations after drivers are dispatched: a cancellation fee applies, shown in the app
• No-show (not present at pickup after the waiting period in Section 5): the fare may be charged
• Refunds for service issues are evaluated case by case. Report an issue through the in-app message form or at support@valet-us.com.

13. Intellectual Property

All content, features and functionality of the VALET Service, including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations and software, are the exclusive property of VALET or its licensors and are protected by United States and international copyright, trademark, patent, trade secret and other intellectual property laws. We grant you a limited, revocable, non-transferable license to use the Apps for their intended purpose.

14. Dispute Resolution

Arbitration agreement

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules.

Class action waiver

You agree that any arbitration or legal proceedings shall be conducted only on an individual basis and not as a class action or representative action.

15. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains what we collect through the website and the Apps and is incorporated into these Terms by reference.

16. Modifications to Service and Terms

VALET may modify or discontinue the Service. We may also revise these Terms from time to time. The most current version is always available on our website, and for material changes we will notify you in the Apps or by email. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

17. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your account and access to the Service, with or without notice, for breach of these Terms, for safety, fraud or legal reasons, or if we discontinue the Service. After termination your right to use the Service ends immediately.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, without regard to its conflict of law provisions. Any legal action or proceeding that is not subject to arbitration shall be brought exclusively in the courts located in North Carolina.

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
